Wendy’s stock climbed 15% on Wednesday after Nelson Peltz launched a bid to acquire the hamburger chain. The move comes as the company faces persistent pressure from rising meat costs and slowing consumer spending.
Trian Fund Management, Peltz’s investment firm, is partnering with several other investors to offer $7.35 in cash for each share. This price is nearly 19% higher than the closing value on Tuesday. Wendy’s shares had fallen 25% over the previous year, marking the tail end of a multi-year decline.
The chain, founded in 1969 by Dave Thomas and named after his daughter, is best known for its square patties and Frosty desserts. However, sales at restaurants open for at least a year have dropped for more than two years. Those same-store sales continued to fall during the first two quarters of 2026.
In a letter to the board of directors, Peltz argued that taking the company private would yield the best outcome for its stakeholders. He described Wendy’s as being at a critical juncture. Peltz cited increasing challenges in the external environment, including pressure on American consumers, economic uncertainty, persistent inflation in raw materials, and intensifying competition in the quick-service restaurant burger sector.
Peltz has previously invested in companies such as Procter & Gamble, Disney, and DuPont. A regulatory document filed on Wednesday revealed that Trian already holds a 16.3% stake in Wendy’s. The Dublin, Ohio-based company declined to comment on the offer.
The chain is scheduled to report its quarterly financial results next week. Analysts expect Wendy’s to post earnings of 9 cents per share, with average sales of $531 million. On Wednesday, the stock price rose 91 cents to reach $7.05.
The proposed acquisition would shift the company from a public to a private status. The offer reflects a premium that exceeds recent trading levels for the stock.
